# Order Form Template — English Summary

Plain-English summary of `opdrachtformulier-template-nl.md`, version 1.0, effective 30 September 2026. The dutch text is the binding version. This document is a **template** — a separate, signed copy must be created per customer.

## Purpose

The Order Form is the **highest-ranked document** in the contract hierarchy (AW Art. 1.4): (1) Order Form > (2) AVC or AVO > (3) AW > (4) SLA/AUP/DPA/Privacy. It captures the deal-specific terms that vary per customer.

## Sections

- **Part A — Parties.** Rule Step B.V. (KvK 42042967, RSIN 869445200, J.J. van Grondelle) and customer fields. **B2B / B2C check box.**
- **Part B — Services.** Consulting or Online services (or both). Product details: hosting variant, domain, email, SSL, backup.
- **Part C — Duration, fee, payment.** Start/end date, fixed fee / hourly / combo, invoice frequency, 14-day payment.
- **Part D — Consulting specifics (if applicable).** Location, effort vs. result obligation, IP transfer on payment + art. 12a Auteurswet naming, B2C withdrawal choice.
- **Part E — Online services specifics (if applicable).** B2C withdrawal exception (immediate execution), free migration assistance (4 hours, only if Rule Step terminates), WHOIS shielded or opt-in.
- **Part F — Data processing.** AVG-role per service. DPA applies. Sub-processor list (with placeholder for billing partner).
- **Part G — Applicable documents.** AW + AVC/AVO + SLA/AUP/DPA/PP with version numbers and checkboxes.
- **Part H — B2C forum protection.** Domicile court option per Brussel I bis art. 18 lid 1.
- **Closing.** J.J. van Grondelle + customer; place Amsterdam; two originals.

## Notable features

- All checks via checkboxes; no free-text gaps that lawyers must interpret.
- Includes art. 12a Auteurswet naming requirement (IP transfer).
- Migration-assistance scope narrow: only on Rule Step-initiated termination (per D-7).
- WHOIS opt-in is isolated check box (not bundled).
- Includes addenda slots (A: DPA verwerkingsspecificaties; B: deliverables/milestones; C: bijzondere afspraken).

## Notable adjudications

- D-7 / D-8 incorporated: 4-hour migration only when Rule Step terminates hosting; 1-month B2C notice with minimum-term carve-out.
- D-11: B2C withdrawal choice isolated (separate box from rest of agreement).
- D-14: abuse@rulestep.com for notice-and-takedown (separate from hello@).
- D-15: FG/DPO = director per bestuursbesluit (art. 38 lid 6 AVG).
